These Terms of Service ("Terms") govern your use of the Sp3kTr4L N0D3 software and the spectralnode.io website operated by Sp3kTr4L AG. By accessing or using our services, you agree to be bound by these Terms.

1. License Grant

Subject to these Terms and payment of applicable fees, Sp3kTr4L AG grants you a limited, non-exclusive, non-transferable, revocable license to use the Sp3kTr4L N0D3 software for your personal or professional use.

• The Free tier grants a perpetual license with limited features as described on the pricing page.
• Paid plans grant access to additional features for the duration of your active subscription or pass validity.
• Business licenses may include additional terms as specified in your enterprise agreement.

2. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the software
• Redistribute, sublicense, or resell the software without authorization
• Remove or modify any proprietary notices or labels
• Use the software for any unlawful purpose
• Attempt to circumvent license verification mechanisms
• Share your license key or account credentials with third parties

3. Subscriptions and Payments

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge the applicable fees to your chosen payment method. Subscriptions auto-renew unless cancelled before the renewal date.

The 3-Day Pass is a one-time purchase that expires 72 hours after activation. It is non-refundable.

Monthly and annual subscriptions include a 14-day money-back guarantee from the date of initial purchase.

4. Intellectual Property

The software, including all code, design, graphics, and documentation, remains the exclusive property of Sp3kTr4L AG. Your license does not grant you any ownership rights. Content you create using the software (shows, presets, configurations) belongs to you.

5. Updates and Modifications

We may release updates, patches, or new versions of the software. Active subscribers receive updates at no additional cost. We reserve the right to modify features, add new functionality, or discontinue features with reasonable notice.

6. Disclaimer of Warranties

The software is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the software will be error-free, uninterrupted, or meet your specific requirements. Use of the software in live performance environments is at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, Sp3kTr4L AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action.

8. Termination

We may terminate or suspend your access to the software immediately, without prior notice, if you breach these Terms. Upon termination, your license to use the software ceases. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the software. Continued use after changes constitutes acceptance of the modified Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through the competent courts.
